Agreement to Terms

These Terms of Service (“Terms”) are a legally binding agreement between you and ClosedOn Ltd (“ClosedOn”, “we”, “us”), a company registered in England and Wales (company number 17176458). By accessing or using closedon.com and the ClosedOn platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

Service Description

ClosedOn is a software-as-a-service platform that provides freelancers with tools for proposal creation, electronic signatures, and payment collection. We are a technology provider — not a law firm, financial adviser, or payment institution. Nothing on the platform constitutes legal or financial advice.

Accounts

You may only hold one account per person. You must provide accurate, complete information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must be at least 18 years old to use ClosedOn.

Subscription & Billing

ClosedOn is available for a flat fee of £39 per month (or the annual equivalent). New accounts include a 14-day free trial. Subscriptions renew automatically at the end of each billing period. You may cancel at any time, and your access will continue until the end of the current billing period. We do not provide refunds for partial months.

Platform Fee

A platform fee of 0.25% is applied to each client payment processed through ClosedOn, capped at £10 per transaction. This fee is charged on top of Stripe’s standard processing fees and is deducted automatically before funds reach your connected Stripe account.

User Content

You retain full ownership of all proposals, contracts, and other content you create on ClosedOn. By using the platform, you grant us a limited, non-exclusive licence to host, store, and display your content solely for the purpose of operating and delivering the service. We do not claim any intellectual property rights over user-created content.

E-Signatures

ClosedOn provides electronic signature tools designed to comply with the UK Electronic Communications Act 2000, the US ESIGN Act, and the EU eIDAS Regulation. The legal enforceability of any electronically signed document depends on the underlying contract and the applicable jurisdiction. ClosedOn is not responsible for the legal validity of contracts created or signed by users. If enforceability is critical to your use case, you should seek independent legal advice.

Templates

Proposal templates provided within the platform are starting points, not legal advice. You are responsible for reviewing, customising, and ensuring the suitability of any template content before sending it to a client. ClosedOn is not liable for the legal sufficiency or accuracy of terms derived from templates.

Acceptable Use

You must not use ClosedOn to engage in fraud, offer illegal services, conduct phishing, impersonate others, harass anyone, facilitate money laundering, or send proposals for illegal goods or services. We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice depending on the severity of the breach.

Limitation of Liability

To the maximum extent permitted by law, ClosedOn’s total aggregate liability arising out of or in connection with these Terms or your use of the platform is limited to the subscription fees you have paid to us in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunity. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Indemnification

You agree to indemnify, defend, and hold harmless ClosedOn and its officers, directors, and employees from any claims, losses, or damages (including reasonable legal fees) arising out of your content, your conduct on the platform, or your breach of these Terms.

Termination

You may cancel your account at any time from your account settings. ClosedOn may suspend or terminate your account for breach of these Terms, with reasonable notice where practicable. On termination, your data will be retained and deleted in accordance with our Privacy Policy.

Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email. Your continued use of the platform after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
